Acquisition Enables Communications Service Providers to Accelerate

Business Transformations

NEC Corporation (NEC) announced today that it has completed the

acquisition of NetCracker Technology Corp. (NetCracker). NetCracker is

the leading provider of Operations Support Systems (OSS) for Mobile,

Wireline, and Cable Service Providers —

helping them transform their operations to achieve increased

efficiencies and deliver complex new services quickly.

This strategic acquisition underscores NEC’s

long-standing commitment to provide innovative solutions that enable

Communications Service Providers (CSPs) to transform their businesses

and rapidly deploy new infrastructure and services.

NetCracker will operate as a wholly owned subsidiary of NEC and will be

led by its current management team. NetCracker will become the

centerpiece of NEC’s Service Provider software

business, adding important products and services to NEC’s

portfolio of mobile and wireline infrastructure products.

“NetCracker has a distinguished record of

successful OSS transformations with leading CSPs worldwide,”

said Mr. Kaoru Yano, President of NEC. “NetCracker’s

exceptional software solutions and professional services, combined with

NEC’s innovative offerings, will enable CSPs

to accelerate their business transformations.”

“Together, NEC and NetCracker will enable

CSPs to succeed in today’s highly competitive

world and to solve complex business challenges,”

said Andrew Feinberg, President and CEO of NetCracker Technology. “Our

combined resources will provide innovative solutions that enable our

customers to transform their businesses through the optimization of

telecom and IT networks, acceleration of service delivery, and

monetization of content services.”

NetCracker’s ability to transform the Service

Layer and manage Networks and IT from a single platform allows CSPs to

speed the delivery of complex new services. Using NetCracker’s

flexible and scalable solutions, leading CSPs around the world have

achieved rapid service delivery, streamlined operations, reduced costs —

and created closer customer relationships.
