ALLIED TELESIS HOLDINGS ACQUIRES ROOT AS A WHOLLY OWNED SUBSIDIARY Move to Strengthen Wireless Network Business

Allied Telesis Holdings K.K. (headquartered in Shinagawa, Tokyo; Takayoshi Oshima, Chairman and CEO) and ROOT Inc. (headquartered in Bunkyo, Tokyo; Hiroshi Mano, Chief Executive Officer) have agreed that Allied Telesis Holdings will acquire ROOT as a wholly owned subsidiary through an exchange of shares, with the aim of strengthening wireless network related business. The Exchange of Shares Agreement was signed following approval votes of the boards of directors of both companies in meetings held on 28 March. Allied Telesis Holdings is the holding company for the Group companies (Allied Telesis, Allied Telesyn and affiliated companies).
The wireless LAN market is expanding year after year along with the rapid spread of broadband infrastructure. Meanwhile, technical innovations in broadband wireless LAN and a movement for standardization are progressing. It is expected that the market will grow through further product/service/technology innovation in the future.
In July of last year, Allied Telesis Holdings K.K. and ROOT Inc. began a business alliance to strengthen their respective wireless network related businesses. In addition, by combining ROOT’s high technology/development capabilities in the wireless field with Allied Telesis Group’s high technology/development capabilities and low-cost manufacturing know-how in the wired IP network field, this management consolidation makes it possible to offer products that lead the market in the wireless network and next-generation mobile communication fields, fields that will grow as social infrastructure in the future IPv6/Ubiquitous age.
ROOT has an excellent record offering state-of-the-art solutions in the mobile IP communications field including development of wireless LAN products and mobile IP. The company’s main solutions are the building of mobile communication systems uninterrupted during high-speed transit of 300km per hour, adoption in road maintenance systems of ITS (Intelligent Transport Systems) promoted by Japan’s Ministry of Land, Infrastructure and Transport, wireless broadband offerings for regional/municipal networks and ISPs, and development of advanced authentication/security systems. The company’s technical capabilities have attracted attention from overseas, resulting in adoption by the Hong Kong subway.
